Terms of Service
Last updated: September 25, 2026
1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you (and any organization you represent, "Customer" or "you") and Technosip ("Technosip", "we", "us"), the operator of UniversalAgent (the "Service"). By creating an account, checking the acceptance box, subscribing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You represent that you are at least 18 years old and have authority to bind any organization on whose behalf you use the Service.
2. The Service
UniversalAgent is an AI browser agent that performs workflow automation on websites and third-party applications at your direction. Features, run limits and supported platforms may change over time. We may modify, suspend or discontinue any part of the Service with reasonable notice where practicable.
3. Accounts
You sign in with Google and are responsible for all activity under your account, for keeping your credentials secure, and for notifying us promptly of any unauthorized use.
4. Subscriptions, billing and renewal
Paid plans are billed monthly in advance in US dollars and renew automatically each month until cancelled. By subscribing you authorize us and our payment processor to charge your payment method for recurring fees plus applicable taxes.
Upgrades take effect immediately and are charged on a prorated basis. Downgrades take effect at the next renewal date. You can cancel at any time from your account; cancellation stops future renewals and you keep access until the end of the current paid period.
Except where required by law, all fees are non-refundable, including for partial months, unused runs or unused platforms. Included runs do not roll over. We may change prices with at least 30 days' notice; changes apply from your next renewal.
If a payment fails we may retry the charge and suspend the Service until the balance is paid.
5. Your responsibilities and acceptable use
You are solely responsible for the workflows you instruct the Service to perform, the accounts and credentials you connect, and all content and data processed. You must have all rights, permissions and consents needed for us to access third-party accounts on your behalf.
You are responsible for complying with the terms of service, API policies and automation rules of every third-party platform you use with the Service (including social media platforms such as Facebook, Instagram, X, LinkedIn and WhatsApp). Technosip is not responsible for any account restriction, suspension, ban, rate limit or loss imposed by a third party.
You may not use the Service to: send spam or unsolicited messages; scrape or collect data in violation of law or third-party terms; infringe intellectual property or privacy rights; commit fraud or impersonation; distribute malware; circumvent security measures; harass or harm others; or engage in any unlawful activity. You may not reverse engineer, resell or build a competing product from the Service.
6. AI output
The Service uses artificial intelligence, which can make mistakes. Outputs and automated actions may be inaccurate, incomplete or unexpected. You are responsible for reviewing outputs and actions before relying on them, especially for financial, legal, HR or customer-facing decisions. Performance figures shown on our website are illustrative and not a guarantee of results.
7. Customer data
You retain ownership of the data you provide. You grant Technosip a limited license to host, process and transmit it solely to provide, secure and improve the Service. Our handling of personal data is described in the Privacy Policy. You are responsible for maintaining your own backups.
8. Intellectual property
The Service, software, branding and documentation are owned by Technosip and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription. Feedback you provide may be used by us without obligation.
9. Third-party services
The Service interacts with third-party websites and services that we do not control. We are not responsible for their availability, content, changes or practices, and changes by third parties may affect Service functionality.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.
11. Limitation of liability
11.1 Disclaimer of certain damages. YOU UNDERSTAND AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TECHNOSIP OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS AND SUPPLIERS (COLLECTIVELY, THE "TECHNOSIP PARTIES") BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR DAMAGES OR COSTS DUE TO LOSS OF PRODUCTION OR USE, BUSINESS INTERRUPTION, THIRD-PARTY ACCOUNT SUSPENSION OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, IN EACH CASE WHETHER OR NOT ANY TECHNOSIP PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SERVICE, OR ANY COMMUNICATIONS OR INTERACTIONS WITH OTHER USERS OF THE SERVICE OR THIRD PARTIES, ON ANY THEORY OF LIABILITY, INCLUDING TO THE EXTENT RESULTING FROM: (i) THE USE OF OR INABILITY TO USE THE SERVICE; (ii) ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED, OR MESSAGES RECEIVED, IN CONNECTION WITH WORKFLOWS RUN THROUGH THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE; OR (v) ANY OTHER MATTER RELATED TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, COPYRIGHT OR ANY OTHER LEGAL THEORY.
11.2 Cap on liability. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TECHNOSIP PARTIES WILL NOT BE LIABLE TO YOU FOR MORE THAN THE GREATER OF (i) THE TOTAL AMOUNT PAID TO TECHNOSIP BY YOU DURING THE THREE-MONTH PERIOD PRIOR TO THE ACT, OMISSION OR OCCURRENCE GIVING RISE TO SUCH LIABILITY, OR (ii) $100.
11.3 Excluded claims. NOTHING IN THESE TERMS LIMITS OR EXCLUDES THE LIABILITY OF A TECHNOSIP PARTY FOR (A) DEATH OR PERSONAL INJURY CAUSED BY A TECHNOSIP PARTY'S NEGLIGENCE; OR (B) ANY INJURY CAUSED BY A TECHNOSIP PARTY'S FRAUD OR FRAUDULENT MISREPRESENTATION. THE DISCLAIMERS, EXCLUSIONS AND CAPS IN THIS SECTION DO NOT APPLY TO THAT LIABILITY.
11.4 Jurisdictions that do not allow these limits. CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
11.5 Basis of the bargain. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND TECHNOSIP.
12. Indemnification
You will defend, indemnify and hold harmless Technosip and its affiliates from any claims, damages, losses and expenses (including reasonable attorneys' fees) arising from your use of the Service, your workflows or data, your violation of these Terms, or your violation of any law or third-party right or terms.
13. Suspension and termination
We may suspend or terminate your access immediately if you breach these Terms, create legal or security risk, or fail to pay. Sections that by their nature should survive termination (including fees owed, disclaimers, limitation of liability, indemnification and dispute resolution) will survive.
14. Disputes, arbitration and governing law
These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law rules. Any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association in the State of New Jersey, except that either party may seek injunctive relief in court for intellectual property misuse. For any matter not subject to arbitration, the state and federal courts located in the State of New Jersey have exclusive jurisdiction, and you consent to personal jurisdiction in those courts. YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.
15. General
We may update these Terms; material changes will be notified by email or in the Service, and continued use after the effective date constitutes acceptance. These Terms and the Privacy Policy are the entire agreement between us regarding the Service. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent. We are not liable for delays caused by events beyond our reasonable control.
